These Terms of Service ("Terms") govern your access to and use of the website www.auvolar.com (the "Site") and the purchase of products from Auvolar ("Company," "we," "us," or "our"). By accessing our Site or placing an order, you agree to be bound by these Terms.

1. Acceptance of Terms

By using our Site, creating an account, or purchasing products, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use our Site or services.

2. Products & Pricing

2.1 Product Descriptions

We make reasonable efforts to ensure product descriptions, specifications, and images are accurate. However, we do not warrant that product descriptions are error-free. If a product you receive differs materially from its description, your sole remedy is to return it per our Return Policy.

2.2 Pricing

All prices are listed in U.S. dollars and are subject to change without notice. Prices displayed on the Site are for the base configuration; pricing may vary based on selected options (wattage, color temperature, voltage, etc.). We reserve the right to correct pricing errors. If the correct price is higher than listed, we will contact you before processing the order.

2.3 Volume Pricing

Custom volume pricing is available for bulk orders. Contact sales@auvolar.com for a quote. Volume pricing agreements are valid for the specified period and quantities only.

3. Orders & Payment

3.1 Order Acceptance

Your order constitutes an offer to purchase. We reserve the right to accept or decline any order. An order confirmation email does not constitute acceptance. Acceptance occurs when we ship the products.

3.2 Payment

We accept major credit cards, ACH bank transfers, and wire transfers. Payment is processed securely through our PCI-DSS compliant third-party payment processor. Full payment is due at the time of order unless otherwise agreed in writing.

3.3 Sales Tax

Applicable sales tax will be calculated at checkout based on the shipping destination. Tax-exempt customers must provide a valid tax exemption certificate before placing orders.

4. Shipping & Delivery

• In-Stock Items: Ship within 1–2 business days from our City of Industry, CA warehouse.
• Made-to-Order Items: Typical lead time of 2–3 weeks.
• Free Shipping: Orders over $500 qualify for free standard ground shipping within the contiguous United States.
• International Shipping: Available upon request. Contact us for rates and lead times.
• Risk of Loss: Title and risk of loss pass to you upon delivery to the shipping carrier.

Delivery dates are estimates and not guaranteed. We are not liable for delays caused by carriers, weather, or circumstances beyond our control.

5. Returns & Warranty

5.1 Return Policy

• Standard products may be returned within 30 days of delivery in original, unused condition and packaging.
• Custom, made-to-order, or special-configuration products are non-returnable unless defective.
• All returns require a Return Merchandise Authorization (RMA) number. Contact sales@auvolar.com before returning any product.
• Return shipping costs are the buyer's responsibility unless the return is due to our error, shipping damage, or a defective product.
• Refunds will be processed within 10 business days of receiving the returned product in acceptable condition.

5.2 Warranty

Auvolar products are covered by an up to 10-year limited warranty against defects in materials and workmanship under normal use. The warranty does not cover damage from misuse, improper installation, unauthorized modifications, power surges, or natural disasters. Warranty claims must include proof of purchase. Our sole obligation under warranty is to repair or replace the defective product at our discretion.

6. Intellectual Property

All content on the Site — including text, images, logos, product designs, photometric data, cut sheets, and software — is the property of Auvolar or its licensors and is protected by U.S. and international copyright, trademark, and intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUVOLAR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOSS OF DATA, ARISING FROM YOUR USE OF THE SITE OR PURCHASE OF PRODUCTS, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF OUR PRODUCTS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.

8. Indemnification

You agree to indemnify and hold harmless Auvolar, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Site, violation of these Terms, or infringement of any third-party rights.

9. Governing Law & Disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute arising from these Terms shall be resolved exclusively in the state or federal courts located in Los Angeles County, California. You consent to the personal jurisdiction of such courts.

10. Force Majeure

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including natural disasters, pandemics, wars, government actions, supply chain disruptions, labor disputes, or utility failures.

11. Modifications

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Your continued use of the Site after changes constitutes acceptance of the revised Terms.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
